1.1 These Terms apply to your use of the Platform. By accessing and using the Platform:

(a) you agree to these Terms; and

(b) where your access and use are on behalf of another person (e.g. a company), you confirm that you are authorised to, and do in fact, agree to these Terms on that person’s behalf and that, by agreeing to these Terms on that person’s behalf, that person is bound by these Terms.

1.2 These Terms should be read in conjunction with LPDY's Privacy Policy.

1.3 Subject to your compliance with these Terms, LPDY grants you a non-exclusive, non-transferable, revocable, limited license, to access and use the Platform using a personal computer or a mobile device; provided that you may not use, reproduce, modify, display, publicly perform, distribute, create derivative works of or circumvent any technological measure that effectively controls access to the Platform in any way including, without limitation, by manual or automatic device or process, for any purpose. Notwithstanding anything to the contrary in these terms, all rights not specifically granted in the license set forth above will be reserved and remain always with LPDY. Use of the Platform for any purpose other than as expressly authorized in these Terms is a violation of LPDY’s copyrights and other proprietary rights and is strictly prohibited.

1.4 If you do not agree to these Terms, you are not authorised to access and use the Platform, and you must immediately stop accessing the Platform.

1.5 LPDY cannot guarantee that your use of the Platform will be uninterrupted. You agree not to hold LPDY liable for any interruption of service of the Platform.

1.6 The Platform is operated by LPDY in Australia. Those who choose to access the Platform from locations outside Australia do so at their own initiative and are responsible for compliance with applicable local laws.

2.1 We may amend these Terms at any time by updating them on the Platform. Unless stated otherwise, any change takes effect immediately. You are responsible for ensuring you are familiar with the latest Terms. By continuing to access and use the Platform, you agree to be bound by the changed Terms.

2.2 LPDY reserves the right to terminate your access to the Platform without prior notice to you, if it is found that your use of the Platform violates these Terms. LPDY may change, suspend, discontinue, or restrict access to, the Platform without notice or liability.

2.3 These Terms were last updated on 3 April 2023.

3.1 In order to register and/or participate in any competitions on the Platform, an individual must:

(a) Be physically located in the jurisdiction in which participation in the competitions you select on the Platform is unrestricted by law; and

(b) At all times comply with these Terms.

3.2 The Platform is not for use by persons under the age of sixteen (16) in Australia (“minors”). By using or accessing the Platform, you represent and warrant that you are at least 16 years of age and have the right, authority and capacity to enter into these Terms and to register for, and/or participate in, any competitions on the Platform.

3.3 Notwithstanding clause 3.2, some tournaments operated on the Platform may have:

(a) higher age requirements in accordance with the terms and conditions relating to that tournament. These higher age requirements are as a result of age restrictions in relation to the applicable game being played in a tournament. You will not be able to participate in these tournaments unless you are able to meet these higher age requirements.

(b) lower age requirements in accordance with the terms and conditions relating to that tournament, generally 13+ years of age. These lower age requirements are as a result of these tournaments being competitions between secondary schools and therefore some participants may be under 16 years of age. If you register on the Platform as a participant in one of these lower age tournaments, you will not be able to participate in tournaments on the Platform that have higher age requirements.

3.4 We may at any time require any User to provide proof of eligibility to participate in order to continue to allow such user access to the Platform, and each user hereby acknowledges and accepts this condition of their participation as a reasonable measure to ensure the security of the Platform. Furthermore, each user may be requested to provide proper identification and proof of eligibility prior to receiving a Prize or to processing by LPDY of any Prize request.

3.5 Failure to provide on request evidence of your identification and/or your eligibility satisfactorily to LPDY, in our sole and absolute discretion, will result in the suspension and/or termination of your account.

4.1 You must provide true, current and complete information in your dealings with us (including when setting up an account) and must promptly update that information as required so that the information remains true, current and complete. This information will also include your country of residence.

4.2 To access certain portions of the Platform, you may be required to create an account through the Platform (Account). If your contact information changes, you agree that you will promptly update the Account information to reflect those changes. Account information and certain other information about you are subject to the Privacy Policy . While using the Platform you consent to the collection and use (as set forth in the Privacy Policy ) of certain information about you, including, if applicable, the transfer of this information to Australia or New Zealand for storage, processing and use by LPDY and its affiliates as set out in the Privacy Policy . You agree that you will not create an Account or access the Platform if you (i) are disqualified under the age restrictions set forth in these Terms and/or the Privacy Policy , or (ii) have previously been removed by LPDY or banned from using the Platform.

4.3 When you create an Account, you will have to create a User ID. Your User ID may be visible to other users. When you choose an Account name or display name or otherwise create a label or image that can be seen by other users of the Platform, including, without limitation, User ID (User Identifier), you must abide by the following guidelines as well as the rules of common decency. If LPDY finds a User Identifier for any type of account, including, without limitation, an individual user account, to be offensive or improper, or believes a User Identifier is or may be illegal, it may, in its sole and absolute discretion, refuse to grant you the User Identifier, change the User Identifier, remove the User Identifier, and/or suspend or terminate your Account. In particular, you may not use any User Identifier:

(a) Belonging to another individual or entity with the intent to impersonate that individual or entity, whether actual or fictitious, including, without limitation, impersonating any LPDY agent or employee or any other user or tournament organizer who uses the Platform;

(c) That is subject to the rights of any other person or entity without written authorization from that person or entity;

(d) That belongs to a popular cultural figure, celebrity or media personality;

(e) That is, contains, or is substantially similar to a trade mark or service mark, whether registered or not, or may otherwise cause confusion;

(f) Belonging to any religious figure or deity;

(g) Related to illicit drugs, sex, alcohol, or criminal activity;

(h) Comprised of partial or complete sentences (e.g., “troll4life”);

(i) Comprised of gibberish (e.g., “jgdhefraopn”);

(j) Uses any characters except for the following: numbers and letters, period (.), underscore (_), or dash (-) and space; or

(k) Is substantially similar to, or otherwise contains or duplicates any copyrighted work or component of a copyrighted work (including, without limitation, comics, anime, movies or other video games, and any characters appearing in any of the foregoing).

4.4 Once you are given a User ID and password to access your Account, you must keep your User ID and password secure and:

(a) not permit any other person to use your User ID or password, including not disclosing or providing it to any other person; and

(b) immediately notify us if you become aware of any disclosure or unauthorised use of your Account by sending an email to privacy@letsplay.live.

5.1 You must not:

(a) act in a way, or use or introduce anything (including any virus, worm, trojan horse, timebomb, keystroke logger, spyware or other similar feature) that in any way compromises, or may compromise, the Platform or any Underlying System, or otherwise attempt to damage or interfere with the Platform or any Underlying System;

(b) post, upload, distribute, store, create or publish through the Platform any message, data, information, text, music, sound, photos, graphics, code or any other material that is false, unlawful, discriminatory, misleading, libellous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, advocates harassment of another person, is considered by LPDY (at its discretion) to amount to hate speech, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable; and

(c) access or attempt to access parts of the Platform for which you are not authorized by LPDY, circumvent or attempt to circumvent any security or password protection on or in the Platform, access the Platform by any method other than through the interface that is provided and authorized by LPDY. Other methods include but are not limited to scraping, deep-linking, harvesting, data mining, use of a robot or spider, automation, or any similar data gathering, extraction or monitoring method;

(d) modify any software for the Platform in any manner or form, nor use modified versions of such software, including, without limitation, for the purpose of obtaining unauthorized access to the Platform;

5.2 You must obtain our prior written permission to establish a link to the Platform. If you wish to do so, email your request to privacy@letsplay.live.

5.3 You must disclose any current, pending or previous criminal charges or convictions in the event you participate in a televised LPDY tournament.

6.1 All LPDY Intellectual Property is owned exclusively by LPDY or its licensors. The Platform, including all software, databases, proprietary information, documentation, software, contents, computer codes, ideas, know-how and LPDY Intellectual Property (and all modifications and derivative works thereof and any intellectual property and other rights relating thereto or contained therein) including, without limitation, the selection, compilations, sequence and “look and feel” and arrangement of items, is owned and operated by LPDY and will remain the exclusive property of LPDY. You acknowledge that the Platform is protected by copyright, trademark and other laws. You further acknowledge that you do not acquire any ownership rights by using the Platform or the LPDY Intellectual Property. You will not challenge, contest or otherwise impair LPDY’s ownership of the Platform and the content on the Platform, including the LPDY Intellectual Property.

6.2 The trade marks, logos, and service marks displayed on or in the Platform (Trade Marks) are the registered and unregistered trademarks of LPDY and LPDY’s advertisers, licensors, suppliers and others. The Trade Marks owned by LPDY, whether registered or unregistered, may not be used, except with LPDY’s express written consent, in connection with any product or service that is not offered by LPDY, in any manner that is likely to cause confusion with customers, or in any manner that disparages LPDY. Nothing contained on the Platform should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trade Mark without the express written permission of LPD, LPDY’s licensors or suppliers, or the third party owner of any such Trade Mark.

6.3 You warrant that you will not challenge our title to any of the LPDY Intellectual Property or assist any third party to do so. You will use the LPDY Intellectual Property in the manner set out in these Terms only and will not claim, exercise or register (or attempt to do so) any copyright, trade mark or trade name, service mark, design or patent in any country in respect of any of the LPDY Intellectual Property or any derivations or adaptations of that intellectual property.

7.1 We have a strict zero tolerance policy on cheating. Users who are caught cheating in any game on any platform are not permitted to compete on our Platform. As a competitive gaming site we work on a system of trust. Once this trust is lost, you thereby lose your status as a trusted competitor. We reserve the right to receive any form of evidence from any source so people cheating for the fun of it in a public server will be dealt with no differently than those caught cheating in a match.

7.2 The installation of any private cheat is strictly prohibited and will lead to a match ban as appropriate in our sole discretion. If you use a cheat for a legitimate purpose (i.e. to expose a cheating player), it is recommended that you use a public cheat and fully uninstall it afterwards.

7.3 In downloading and using LPDY Anti-Cheat you hereby agree to the terms as set out in this document. You further acknowledge and accept LPDY Anti-Cheat to take screenshots of your game, and in some cases your desktop, and that we may collect and scan information and files regarding your system for use in anti-cheat matters. You acknowledge that on request private screenshots may be deleted at our discretion. Any updates to the LPDY Anti-Cheat Policy that you may download, or install, are bound by these Terms.

7.4 Under no circumstance do we accept responsibility for any damage or loss to your system caused as either a direct or indirect result of the installation or use of LPDY Anti-Cheat.

8.1 LPDY is a competitive esports community and as such all members joining this system are required to show requisite sportsmanship when competing in any of our leagues. No team or member of a team has the right to degrade or talk down to another player or team based on their ability or skill level. Breaches of these Terms will come with penalties as all members of the LPDY communities are welcomed and encouraged to compete at whatever level they can achieve and we expect all members to encourage and support others in achieving the highest standard of competitiveness possible. We encourage all members of the community to get involved with the system and we request that all of you who get involved do so in a mature and encouraging manner.

8.2 LPDY provides you with the ability to submit and display media that is generated from either your time competing on the Platform or in public play. This media is a resource that is valued as it is made with time and care uploaded for the enjoyment of all members. You are welcome to give comments on this media, but you are also bound by these Terms and must comply with these Terms. Harassment (including misogynistic content and hate speech, as determined by LPDY in its sole discretion) and/or abusive behaviour will not be tolerated, and all users are again reminded to respect the time that users put in to generate content for your viewing pleasure.

8.3 All users are expected to comply with all our staff requests immediately and maturely. Abuse of LPDY staff will result in a ban or permanent removal from the system.

8.4 LPDY provides a large amount of gaming servers for use of the competing teams on the Platform. All users are expected to respect these resources and use them responsibly. Any user found tampering with settings on these servers will have their access to these systems removed for a period at our sole discretion.

8.5 The user rules below are in furtherance, and not in limitation, of the other terms and conditions in these Terms. In relation to your use of the Platform, you agree that you will not, nor permit anyone else to, directly or indirectly:

(a) Violate any applicable law, regulation, or contract or use the Platform or LPDY Intellectual Property for any unlawful purpose;

(b) Use the Platform to run tournaments or competitions for games of chance or to conduct gambling;

(c) Offer cash prizes where it is prohibited by law;

(d) Make available through the Platform any material or information that infringes any copyright, trade mark, patent, trade secret, or other right of any party (including, without limitation, rights of privacy or publicity);

(e) Access the Platform to participate in a tournament that violates any law where you reside or that you are subject to;

(f) Create, distribute or use any third-party software, including, without limitation, “mods,” cheats, addons or hacks, designed to change or manipulate tournaments;

(g) Misrepresent yourself in any way;

(h) Make any false, misleading, or inaccurate statements;

(i) Use language that is threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene, offensive, profane, unlawful, or invasive of another’s privacy;

(j) Commit any actions considered to be unethical;

(k) Impersonate any person or entity, including any employee or representative of LPDY;

(l) License, create derivative works from, any information, content obtained from the Platform;

(m) Restrict or inhibit any other visitor or member from using the Platform, including, without limitation, by means of “hacking” or defacing any portion of the Platform;

(n) Use the Platform to harm minors in any way;

(o) Engage in spamming or flooding;

(p) Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of the Platform or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Platform;

(q) Remove any copyright, trademark or other proprietary rights notices contained on or in the Platform;

(r) “Frame” or “mirror” any part of the Platform;

(s) Stalk or otherwise harass another; or

(t) Harvest or collect information about Platform visitors, users or Account holders without their express consent.

(u) LPDY reserves the right to permanently suspend or terminate your Account and your access to the Platform, and/or disqualify you from receiving any prize(s) offered by a tournament, if it suspects that you have violated any of these user rules.

8.6 Any user found to be harassing (including misogynistic content and hate speech, as determined by LPDY in its sole discretion) any other user or LPDY staff member in an inappropriate way on any Platform will be removed and if the matter is serious enough may be referred to the appropriate police department or other enforcement and intelligence authorities.

9.1 You agree that any content you submit is not illegal, indecent, profane, threatening, or defamatory, and does not amount to hate speech; and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of 'spam'.

9.2 You warrant and represent that:

(a) Your submitted content does not infringe on the copyright, trademark, or other intellectual property rights of any person or entity or contain any confidential or proprietary information of any person or entity, or otherwise violate the legal rights of any person or entity.

(b) Your submitted content does not contain Personal Information about other persons, such as their phone number, identifiable pictures, contact information, or email address, or information that could result in an invasion of their privacy or harassment of that person.

10.1 Your privacy is very important to us. We have developed our Privacy Policy which provides further details about how we collect, use and disclose your personal information. For further details please visit our Privacy Policy at https://letsplay.live/privacypolicy.

10.2 LPDY operates official pages on social media platforms (including, without limitation, Facebook, Twitch, Instagram, and Twitter) in relation to the Platform (Social Media Content). You accept that the Social Media Content may feature certain of your personally identifiable information (PI Content). You further acknowledge and agree that we have no responsibility for posts made by third parties on Social Media Content. You hereby grant LPDY an exclusive, worldwide, irrevocable, sub-licensable, transferrable license to edit, distribute and exploit your PI Content in all media, including, without limitation, print, television and internet, which media may be used in more than one country. You hereby waive all “moral rights” in any PI Content featuring you and give to LPDY all the consents that LPDY needs to exploit these items in any media without limitation so far as possible in perpetuity.

11.1 We help organizers create and manage competitions for online video game tournaments and help gamers find tournaments to join. Each tournament is different because it is subject to the parameters set by the organizer through the Site, including, without limitation, interactions and rankings among event attendees, communications and the awarding of prizes, if any. By using the Platform, you agree to these additional parameters and agree to receive communications from the organizer subject to applicable laws. Further, any communications from organizers, including, without limitation, any representations, content or links supplied or promises of prizes or rewards, are made solely by the organizers. LPDY is not responsible for monitoring organizers’ communications or administering any prizes or rewards. Even if we provide any assistance in the administering of prizes or rewards, the tournament organizer still remains responsible for the determination of eligibility and the distribution of any prizes or rewards.

11.2 LPDY cannot guarantee that any tournament organizer who hosts an event through the Platform will distribute advertised or promised prizes or rewards. You participate in a tournament at your own risk and agree that LPDY is not responsible for any tournament prizes offered by third party tournament organizers.

11.3 By competing in LPDY tournaments, you understand and agree to the following:

(a) Any entry fees paid to us will be refunded only if you withdraw from the tournament before the registration close time, or if your team is automatically withdrawn (for not qualifying etc.) or is removed by an LPDY administrator or the tournament is cancelled.

(b) We reserve the right to cancel any tournament and refund all members their entry fee (if applicable) at any time.

(c) We will attempt to make refunds to the source of payment. If this is not possible, your LPDY Wallet will be credited your entry fee.

(d) Most refunds will be made within 1 hour of the tournament starting; however, if there are issues, we aim to have all refunds completed within 48 hours.

(e) The entry fee for the tournament is exclusive of transaction fees and any applicable GST, VAT or other applicable sales tax. You agree to pay all fees and applicable taxes incurred by you or anyone using your account. You agree to provide your country of residency when creating an Account and to update that country of residence if it changes.

(f) By signing up to a tournament you agree to the tournament rules posted on the tournaments overview page.

(g) You agree that the LPDY Admin/Anti-cheat team reserves the right to change the rules of a tournament before its start point at any time without notice.

(h) Various tournaments can go for the entire day, whilst most will go for at least 4 hours. Please check the relevant tournament page for more information.

(i) You agree to provide all demos of your matches (if applicable) to LPDY. Failure to provide a demo will result in you being banned from the tournament system and any prizemoney forfeited.

(j) You agree that the LPDY Admin/Anti-cheat team will review any disputed matches and may overturn any matches as we see fit. If your match is overturned due to what we have determined (at our sole discretion) is cheating, you or your team will be refunded paid entry fees (if applicable) and be permanently banned from LPDY. You or your team will also be ineligible to receive any Prize.

(k) If a match dispute arises that is unlikely to be resolved quickly, LPDY reserves the right to refund you and your opponent or both teams (if applicable) and withdraw them 'mid-tournament'.

(l) Having a stable ISP/internet connection is the responsibility of the individual players. LPDY will not refund users or teams that lose matches due to user internet problems.

(m) If there are significant ISP/internet issues that affect multiple teams, we reserve the right to cancel a tournament and refund all users.

(n) If the Platform or Underlying System suffers significant issues, the entire tournament will be cancelled at LPDY's discretion and entry fees will be refunded.

(o) LPDY reserves the right to ban any user or team from competing in any tournament operated on the Platform for any reason at its discretion.

(p) All disputable issues that are known at the start of a match must be resolved before the match starts. For example, playing with less players than required or playing with players not on rosters. If you agree to start the match, it is assumed you are content with the match to count. Disputing the match afterwards for such issues will likely result in a lost match and possible bans for wasting the administrator's time and goes against our sportsmanship expectations.

(q) You have confirmed you are legally able to compete in our tournaments in your jurisdiction.

12.1 LPDY account holders may access the Platform and tournaments by any of our subscriptions:

(a) Free: Our free service offers a free of charge service limited to a certain amount of features and/or events; and

(b) Tournaments: Our Tournament subscription service is a subscription fee-based service that gives access to all the currently available parts of the Platform.

13.1 Your monthly subscription will be deducted from your PayPal account. This will be done by automatically topping up your LPDY Wallet from your PayPal account by way of purchasing LPDY Tokens. Your subscription will then be paid in LPDY Tokens from your LPDY Wallet. This will occur even if there are sufficient existing LPDY Tokens in your LPDY Wallet.

13.2 If you have a paid monthly subscription, your payment to LPDY will automatically renew at the end of the subscription period, unless you cancel your paid subscription before the end of the current subscription period. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to our free service. However, if you cancel your payment and/or terminate the Terms after the cooling off period is over (where applicable), and/or before the end of the subscription period, we will not refund any subscription fees already paid to us.

13.3 LPDY may change the price for the paid subscription from time to time and will communicate any price changes to you. Price changes for the paid subscriptions will take effect at the start of the next subscription period following the date of the price change. By continuing to use the LPDY service after the price change takes effect, you accept the new price.

13.4 Monthly subscription fees include transaction fees and GST, VAT or other sales taxes applicable to your country of residence. You agree to provide your country of residence when registering for our subscription service.

13.5 You are fully liable for the use of your LPDY Wallet. You acknowledge and accept that LPDY has no liability for any unauthorised use or access by third persons of your LPDY Wallet.

14.1 LPDY Tokens may be:

(a) purchased by you at any time by using your PayPal account or credit card. These LPDY Tokens will be credited to your LPDY Wallet; or

(b) credited to your LPDY Wallet as a Prize.

LPDY Tokens and all information relating to your LPDY Tokens will be displayed in your LPDY Wallet.

14.2 In order to maintain the validity of your LPDY Wallet and the LPDY Tokens in your LPDY Wallet, you must either purchase LPDY Tokens, or be credited LPDY Tokens as a Prize, at least once every 12 months. If no such purchase or credit of an LPDY Token occurs in any 12-month period, your LPDY Wallet will expire and your LPDY Tokens will become invalid and unable to be used on the Platform. Per clause 13.1, the renewal of your subscription to the Platform by purchasing LPDY Tokens will renew the validity of your LPDY Wallet.

14.3 If you or your team wins a competition on LPDY, the Prize will be split evenly among your team members and credited to your LPDY Wallet as LPDY Tokens. For LPDY operated tournaments, this process will be completed, and the Prize will be credited within 48 business hours of the competition’s conclusion. For official game publisher events, this process may take longer depending on the publisher. If there are any delays for any reason, users that have won a Prize will be sent a message to let them know.

14.4 Once you have received your LPDY Tokens as a Prize you can submit a request to have these LPDY Tokens transferred to a bank account. There is a minimum withdrawal of $15 for a transfer to a bank account. International transaction fees occur for bank transfers of 1.5% of the amount to be transferred, which you agree to incur. Any additional transaction or bank fees will be deducted from the withdrawal amount and is your responsibility. Alternatively, these LPDY Tokens can be used to purchase goods and services on the Platform.

15.1 The Platform allows you to purchase certain digital content, such as gift codes, app/game credits, and vouchers and make payment for such purchases through the payment options provided, all via the Platform. Purchases made using the Platform will be sold to you directly by LPDY as the merchant on record.

15.2 Complete information on each Publisher Code offered on the Platform, including the price, available modes of payment, mode of delivery, and instructions for use, is stated on the individual product pages of each Publisher Code. Please read the product page carefully before making any purchase. LPDY makes every effort to ensure that the product descriptions relating to digital content on the Platform are as accurate as possible. However, to the extent permitted by law, LPDY does not warrant that such digital content descriptions are complete and accurate.

15.3 Credit card details that you provide are collected directly by LPDY’s payment partners who are the relevant banking institutions, card issuers, or card aggregators (Payment Providers). These details are not collected, stored, or processed by LPDY. LPDY is reselling these digital goods directly and acts as the merchant on record. LPDY, the Publishers, and/or the Payment Providers reserve the right and discretion to reject or decline any transaction for any reason or set limits on transaction types and/or amounts.

15.4 In respect of Publisher Codes purchased through the Platform, the relevant Publisher that issued the purchased Publisher Code, and not LPDY, are solely responsible for redeeming the Publisher Codes, and for providing goods or services to you in exchange. Some Publisher Codes have expiry dates, and you are responsible for noting these.

15.5 You acknowledge and understand that transactions successfully made on the Platform are final. No returns will be accepted, and no refunds will be issued unless expressly specified otherwise in these Terms. If a refund is made to you after dispute and/or error handling as outlined in the sections on Disputes and Error Handling, the timeframe to credit your LPDY Wallet will depend on payment service provider.

15.6 In respect of your purchases, you confirm that:

(a) you are purchasing the Publisher Codes via the Platform for your own exclusive and personal consumption;

(b) you will have no right to reproduce, replicate, distribute or otherwise exploit any content, goods or services provided to you; and

(c) you at all times comply with all applicable laws, rules and regulations in your purchase and use of the Publisher Codes.

15.7 Unless otherwise stated, when we provide you with certain digital content, the transaction is instantaneous due to the nature of such content, such that a deduction of LPDY Tokens is immediately recorded in your LPDY Wallet, and the content or Publisher Code is instantly credited to you through the Publishers’ respective platforms or delivered to you within a short period of time after the successful completion of your purchase. Your purchases cannot be cancelled, refunded, or replaced simply because you have changed your mind, or you have decided that you do not like what you have purchased. However, you have the right to raise valid disputes or errors according to the procedures outlined in the sections on Disputes and Error Handling, or a valid claim pursuant to a consumer guarantee under the Australian Consumer Law (ACL).

15.8 The Publisher Codes come with guarantees that cannot be excluded under the ACL and, to the extent these Terms are in contradiction with the ACL, the applicable parts of these Terms do not apply to you. To the extent applicable to the Publisher Codes, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

15.9 If you are dissatisfied with any Publisher Codes purchased using the Services, or if you believe that you have been charged in error, please directly contact the following to resolve the issue:

(a) LPDY, for purchases made via the Platform; or

(b) the Publisher, for all other transactions.

If you are unable to resolve the issue with the Publisher directly, you may file a dispute or complaint against the Publisher with LPDY. You must not make any false or misleading statements when filing, or during the subsequent investigation of, a dispute. LPDY will investigate all disputes that are filed with it and will make reasonable efforts to resolve them. However, the ultimate resolution of such disputes will be at LPDY’s sole discretion.

15.10 As part of or separate from the dispute handling process set out in clause 15.9, LPDY may determine that a mistake has been made that affects you. If LPDY determines that you have been incorrectly charged or overcharged, LPDY will credit your LPDY Wallet with LPDY Tokens or otherwise arrange for a refund to rectify the mistake. If LPDY concludes that you were not charged when you ought to have been, or that you have been undercharged, LPDY may debit LPDY Tokens from your LPDY Wallet or otherwise collect a payment to rectify the mistake accordingly.

16.1 To the maximum extent permitted by law, LPDY and its licensors have no liability or responsibility to you or any other person for any Loss in connection with:

(a) the Platform or Underlying System being unavailable (in whole or in part) or performing slowly;

(b) any error in, or omission from, any information made available through the Platform or Underlying System;

(c) any exposure to viruses or other forms of interference which may damage your computer system or expose you to fraud when you access or use the Platform or Underlying System. For the avoidance of doubt, you are responsible for ensuring the process by which you access and use the Platform or Underlying System protects you from this; and

(d) any link on the Platform or Underlying System to other sites does not imply any endorsement, approval or recommendation of, or responsibility for, those sites or their contents, operations, products or operators.

16.2 Visiting or using any third party link from the Platform is at your own risk. Once you leave our Platform you are bound by the terms and conditions, privacy policy and other rules or policies related to that third party site. We will have no liability with respect to acts, omissions, errors, representations, warranties, breaches, or negligence of any third party or for any personal injuries, death, property damage, or other damages or expenses resulting from you interactions with third parties.

16.3 Any threat of legal action against LPDY will likely result in your account/team being permanently removed from the Platform and Underlying System, especially if you already have an existing ban.

16.4 The views, opinions or positions expressed by users and those providing comments are theirs alone, and do not necessarily reflect the views, opinion, or positions of LPDY or any employee thereof.

16.5 LPDY reserves the right to delete, edit, or alter in any manner it sees fit, entries or comments that it, in our sole discretion, deems to be obscene, offensive, defamatory, threatening, in violation of trademark, copyright or other laws, is determined (at LPDY's discretion) to amount to hate speech or is otherwise unacceptable. We have various Anti-cheat teams on the Platform, and you agree to accept any cheating or hacking bans they may make against you. Additionally, they are not required to disclose the evidence they have used in coming to their decisions. You also agree to abide by any additional Anti-cheat rules that various competitions require.

16.6 We make no representation or warranty that the Platform or Underlying System is appropriate or available for use in all countries or that the content satisfies the laws of all countries. You are responsible for ensuring that your access to and use of the Platform or Underlying System is not illegal or prohibited, and for your own compliance with applicable local laws.

16.7 We reserve the right to refuse service to anyone for any reason.

16.8 You agree that we cannot be held liable if laws applicable to you restrict or prohibit your participation in our competitions. We make no representations or warranties, implicit or explicit, as to your legal right to participate in any competition offered by LPDY, nor will any person affiliated with or claiming affiliation with LPDY have authority to make any such representations or warranties.

17.1 To the maximum extent permitted by law:

(a) you access and use the Platform and Underlying System at your own risk; and

(b) we are not liable or responsible to you or any other person for any Loss under or in connection with these Terms, the Platform and Underlying System, or your access and use of (or inability to access or use) the Platform and Underlying System. This exclusion applies regardless of whether our liability or responsibility arises in contract, tort (including negligence), equity, breach of statutory duty, or otherwise.

17.2 To the maximum extent permitted by law and only to the extent clauses 15.1 of these Terms do not apply, our total liability to you under or in connection with these Terms, or in connection with the Platform, or your access and use of (or inability to access or use) the Platform, must not exceed the greater of:

(a) The total of any fees with respect to any payment or feature of the services paid in the six months prior to the date of the initial claim made against LPDY, or;

(b) $100 (AUD).

18.1 Without prejudice to any other right or remedy available to us, if we consider that you have breached these Terms or we otherwise consider it appropriate, we may immediately, and without notice, suspend or terminate your access to the Platform or Underlying System (or any part of them).

18.2 On suspension or termination, you must immediately cease using the Platform and/or Underlying System and must not attempt to gain further access.

19.1 If we need to contact you, we may do so by email or by posting a notice on the Platform. You agree that this satisfies all legal requirements in relation to written communications.

19.2 Users must only use the Platform supports features, forum, official LPDY email address, or LPDY branded discord servers as means of communication with our tournament administrators. Any correspondence sent by any other means will not be classed as valid communication with LPDY.

19.3 These Terms, and any dispute relating to these Terms or the Platform and Underlying System, are governed by and must be interpreted in accordance with the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the Courts of New South Wales in relation to any dispute connected with these Terms or the Platform.

19.4 Your account may be operated using Australian Dollars (AUD). You will be required to pay the relevant sales tax or value added tax that is relevant for your jurisdiction, including GST in New Zealand and Australia.

19.5 For us to waive a right under these Terms, the waiver must be in writing.

19.6 Clauses which, by their nature, are intended to survive termination of these Terms, including clauses 5.3, 6, 7, 17, 19.1, continue in force.

19.7 If any part or provision of these Terms is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability or invalidity. If a modification is not possible, the part or provision must be treated for all purposes as severed from these Terms. The remainder of these Terms will be binding on you.

19.8 These Terms set out everything agreed by the parties relating to your use of the Platform and supersede and cancel anything discussed, exchanged or agreed prior to you agreeing to these Terms. The parties have not relied on any representation, warranty or agreement relating to the Platform that is not expressly set out in the Terms, and no such representation, warranty or agreement has any effect from the date you agreed to these Terms.

In these Terms:

Disputes and Error Handling means the provisions relating to disputes (clause 15.9) and error handling (clause 15.10).

Gaming Title means a video game which features on the Platform or will be the subject of a tournament operated on the Platform.

including and similar words do not imply any limit.

Loss includes loss of profits, savings, revenue or data, and any other claim, damage, loss, liability and cost, including legal costs on a solicitor and own client basis.

LPDY means LPDY Ventures Pty. Limited, a registered company of Australia.

LPDY Anti-cheat means LPDY's cheating policy as set out at

LPDY Intellectual Property means the information and materials provided on or through the Platform, including any content, data, text, designs, graphics, images, photographs, illustrations, audio and video clips, logos, icons and links.

LPDY Token means a token purchased by you via your PayPal account or a credit card, or credited to your LPDY Wallet as a Prize. These tokens may be used by you to purchase goods or services via the Platform.

LPDY Wallet means the onsite prepaid account of the Platform used to store the Platform’s currency called LPDY Tokens. This wallet can be loaded with LPDY Tokens, purchased using AUD or won from Prizes on the Platform. LPDY Tokens are required to make all purchases (subscriptions, vouchers, tournament fees etc.) on the Platform.

Personal Information means information about an identifiable, living person which enables that person to be identified using such information.

Platform means the gaming platform available at https://letsplay.live, https://hsl.letsplay.live, https://pro.letsplay.live and https://eu.letsplay.live.

Privacy Policy means LPDY's privacy statement available at https://letsplay.live/privacypolicy.

Prize means any form of consideration awarded to a user or a team for winning a tournament, either in the form of LPDY Tokens or some other item.

Publisher means the entity that owns and/or controls the licensing of any Gaming Title.

Terms means these terms and conditions titled Platform Terms of Use.

Underlying System means any network, system, software, database, data or material that underlies or is connected to the Platform.

User ID means a unique name and/or password allocated to you to allow you to access certain parts of the Platform.

We, us or our means LPDY.

You means you or, if clause 1.1b applies, both you and the other person on whose behalf you are acting.
